1. Introduction

Welcome to Droplx, operated by Geminex Technologies LLP (“Droplx”, “we”, “our”, or “us”).

These Terms of Service (“Terms”) govern your access to and use of Droplx, including all features, rooms, and file-sharing functionality.

By using Droplx, you agree to these Terms.

2. Eligibility

By using Droplx, you confirm that:

• you are legally capable of entering into a binding agreement under applicable law
• you will use the platform in compliance with all applicable laws and regulations

3. Nature of the Service

Droplx provides:

• room-based file sharing
• temporary and persistent sharing environments
• application-level access controls

Droplx is:

• not a storage service
• not a guaranteed secure vault
• not responsible for how recipients use shared content after access

4. User Responsibilities

You agree that you will:

• use Droplx only for lawful purposes
• share only content you have the right to share
• respect the privacy and rights of others
• not misuse or attempt to exploit the platform

You are solely responsible for:

• the files you upload
• the users you invite
• how your shared content is used after access

5. Content Ownership

• You retain ownership of any files you upload
• Droplx does not claim ownership over your content

6. File Lifecycle & Availability

• Files are stored temporarily to enable sharing
• Files may be deleted automatically based on:
  • room duration
  • user actions
  • system conditions

Droplx does not guarantee availability, recovery, or backup of files.

7. Access Controls & Limitations

Droplx provides features such as:

• view restrictions
• download controls
• time-based deletion

You acknowledge that:

Droplx does not guarantee prevention of unauthorized redistribution after access.

8. Prohibited Uses

You agree not to use Droplx for:

• illegal content or activities
• copyright infringement or piracy
• distribution of malware or harmful software
• sharing of sensitive personal data without consent
• harassment, abuse, or harmful behavior

Droplx reserves the right to take action (including restricting access) if misuse is identified.

9. Platform Availability

Droplx is provided on an “as is” and “as available” basis.

We do not guarantee:

• uninterrupted access
• error-free operation
• continuous availability

Features may change, be modified, or discontinued at any time.

10. Limitation of Liability

To the maximum extent permitted by law:

Droplx shall not be liable for:

• loss of data or files
• unauthorized access or sharing by other users
• indirect, incidental, or consequential damages
• misuse of content after it has been accessed

Your use of Droplx is at your own risk.

11. Indemnification

You agree to indemnify and hold harmless Droplx and Geminex Technologies LLP from any claims, damages, or liabilities arising from:

• your use of the platform
• your content
• your violation of these Terms

12. Suspension & Termination

We may suspend or restrict access to Droplx if:

• we detect misuse
• required by law
• necessary to protect the platform or users

Users may stop using the service at any time.
